Terms of Service

Please read these Terms carefully before using Readies. By accessing our services, you agree to be bound by the terms set out below.

01Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Readies Technology Limited ("Readies", "we", "our", "us"), a company incorporated in the Federal Republic of Nigeria.

By downloading, installing, registering for, or using the Readies application or any associated services — including Readies Mobile Bank, Readiespay, Dnamaz Capital, and Golden Securities — you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Readies app or any of its services. Continued use following any updates constitutes acceptance of the revised Terms.

02Eligibility

To use Readies, you must:

  • Be at least 18 years of age
  • Be a resident of or have a valid Nigerian bank account
  • Provide a valid government-issued ID for KYC verification (NIN, BVN, or passport)
  • Not be subject to any sanction, embargo, or legal restriction that prohibits you from accessing financial services
  • Have the legal capacity to enter into a binding contract under Nigerian law

By creating an account, you warrant that all information you provide during registration is accurate, current, and complete, and that you meet all eligibility criteria above.

03Your Account

3.1 Account Registration

You are responsible for maintaining the confidentiality of your account credentials, including your password, PIN, and biometric data. You agree to notify us immediately at support@readies.ng if you suspect any unauthorised access to your account.

3.2 Account Security

You agree not to share your credentials with any third party. Readies will never ask for your PIN or password via email, SMS, or phone call. Any activity conducted through your account is your responsibility unless you promptly report unauthorised access.

3.3 KYC Verification

All users are required to complete Know-Your-Customer (KYC) verification in accordance with CBN and NFIU Anti-Money Laundering (AML) requirements. Failure to complete or maintain KYC compliance may result in restrictions on your account functionality.

3.4 Account Limits

Transaction limits, wallet balances, and investment caps apply to your account based on your KYC tier and prevailing CBN regulations. These limits may be adjusted without prior notice in compliance with regulatory requirements.

04Our Services

Readies provides an integrated financial platform comprising the following core services:

  • Readies Mobile Bank: Mobile banking including fund transfers, bill payments, airtime top-up, and account management
  • Readiespay: Payment infrastructure enabling businesses to accept payments, issue payment links, provision virtual accounts, and automate billing
  • Dnamaz Capital: Shariah-compliant investment products including Murabaha and Musharakah structures
  • Golden Securities: Nigerian Stock Exchange (NSE) brokerage services for buying and selling equities

All services are subject to availability, regulatory approval, and our prevailing terms. We reserve the right to modify, suspend, or discontinue any service or feature at any time, with reasonable notice where possible.

Readies, including Readiespay, is a technology platform. We are not a bank. Banking, settlement, and custody of funds are provided in partnership with a licensed microfinance bank partner, and investment and securities services are regulated by the Securities and Exchange Commission (SEC) Nigeria.

05Dnamaz — Halal Investment Platform

Shariah Compliance Notice

Dnamaz investment products are structured to be free of interest (Riba), excessive uncertainty (Gharar), and prohibited activities under Islamic jurisprudence. All products are reviewed and certified by a qualified Shariah advisory board.

5.1 Investment Risk

All investments carry risk. The value of your investment may go up or down. Past performance is not a guarantee of future returns. Before investing, you should consider your investment objectives, financial situation, and risk tolerance.

5.2 Profit Distribution

Profit rates on Dnamaz products are indicative and based on the performance of underlying assets. Actual returns may vary. Profit distributions are made at the end of each agreed investment cycle as stated in your investment agreement.

5.3 Early Redemption

Early redemption terms vary by product. Some products may not permit early withdrawal; others may be subject to early redemption charges. Full terms are disclosed at the point of investment.

5.4 Capital Protection

Dnamaz investments are not government-guaranteed deposits. While we structure products to prioritise capital preservation, returns are not guaranteed and principal may be at risk depending on the product type.

06Golden Securities — Stock Trading

Golden Securities provides access to equity trading on the Nigerian Stock Exchange (NSE) and affiliated markets. By using Golden Securities, you acknowledge that:

  • Stock prices fluctuate and you may receive less than you invest
  • Past market performance is not indicative of future results
  • You are solely responsible for your investment decisions
  • We do not provide personalised investment or financial advice
  • Market data displayed may be delayed; we are not liable for decisions made on delayed data
  • All trades are subject to NSE rules, settlement cycles, and applicable SEC regulations

Golden Securities operates under the regulatory framework of the Securities and Exchange Commission (SEC) Nigeria. Your securities are held by a registered stockbroker/custodian on your behalf.

07Fees & Charges

Readies is free to download and register. Fees may apply to specific transactions and services, including but not limited to:

  • Interbank transfers (subject to NIP/NIBSS charges)
  • Stock trading commissions and SEC/NSE levies
  • Currency conversion fees (where applicable)
  • Premium account features (if introduced)

All applicable fees are disclosed clearly before you confirm any transaction. We reserve the right to introduce or modify fees with at least 30 days' prior notice via the app or email. Continued use of the service after fee changes constitutes acceptance.

08Prohibited Conduct

You agree not to use Readies for any of the following prohibited purposes:

  • Money laundering, terrorism financing, or any activity in violation of the Money Laundering (Prohibition) Act or NFIU regulations
  • Fraud, impersonation, identity theft, or providing false information
  • Circumventing KYC/AML verification controls
  • Transmitting funds on behalf of third parties without proper authorisation
  • Reverse engineering, decompiling, or modifying the Readies application
  • Using automated bots, scrapers, or unauthorised tools to access our services
  • Any activity that is illegal under Nigerian federal or state law
  • Abuse, harassment, or threatening communications toward Readies staff

Violation of these prohibitions may result in immediate account suspension, termination, and/or referral to relevant law enforcement authorities.

09Intellectual Property

All content, trademarks, logos, software, code, designs, and materials within the Readies app and website are the exclusive property of Readies Technology Limited or its licensors and are protected under Nigerian and international intellectual property law.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Readies app solely for personal, non-commercial financial management purposes in accordance with these Terms. You may not copy, distribute, modify, or create derivative works from any part of our platform without our express written consent.

10Limitation of Liability

To the fullest extent permitted by Nigerian law, Readies Technology Limited, its directors, officers, employees, and partners shall not be liable for:

  • Loss of profits, revenue, or data arising from your use of our services
  • Investment losses or market fluctuations on Dnamaz or Golden Securities
  • Service interruptions due to force majeure, regulatory action, or infrastructure failure
  • Unauthorised access to your account resulting from your failure to secure your credentials
  • Actions of third-party service providers, payment networks, our licensed microfinance bank partner, or clearing houses

Our total aggregate liability to you for any claim arising from these Terms shall not exceed the total fees you have paid to Readies in the 12-month period preceding the event giving rise to the claim.

Investment Disclaimer: Readies does not guarantee any specific investment returns. All investment activities carry inherent risk and you should seek independent financial advice before making investment decisions.

11Termination

11.1 Termination by You

You may close your account at any time by contacting support@readies.ng. Closure is subject to resolution of all outstanding transactions and compliance with applicable data retention obligations.

11.2 Termination by Readies

We reserve the right to suspend or terminate your account without prior notice if we believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the security or integrity of our platform. Where legally possible, we will provide reasonable notice of termination.

11.3 Effect of Termination

Upon termination, all active services will cease. Any outstanding investments will be handled in accordance with the applicable product terms. Regulatory data retention obligations will continue to apply after account closure.

12Dispute Resolution

In the event of any dispute arising from these Terms or your use of Readies, we encourage you to first contact our support team at support@readies.ng for an informal resolution within 30 days.

If the dispute cannot be resolved informally, both parties agree to submit to binding arbitration under the Arbitration and Conciliation Act (as amended) of the Federal Republic of Nigeria, with a single arbitrator mutually agreed upon, seated in Abuja, FCT.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a competent court of law.

13Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Subject to the arbitration clause above, both parties submit to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja.

14Changes to These Terms

We may revise these Terms periodically. When material changes are made, we will:

  • Update the "Last Updated" date at the top of this page
  • Send an in-app notification and/or email to registered users
  • Provide at least 14 days' notice before material changes take effect

Your continued use of Readies following the effective date of any revision constitutes your acceptance of the updated Terms.
